By-Laws

Cumberland Branch By-Laws 



1.      Name

The name of the organization shall be the Cumberland Branch Retired Teachers Organization of the Nova Scotia Teachers Union, hereinafter referred to as the NSTU-RTO Cumberland Branch.

 

2.       Purpose

The purpose of the NSTU-RTO Cumberland Branch shall be to carry out the objectives of the Retired Teachers Organization. 

 

3.    Membership

Membership in the NSTU-RTO Cumberland Branch shall be the same as the membership qualifications as stated in the Constitution of the Retired Teachers Organization of the Nova Scotia Teachers Union.

 

4.    Rights, Privileges and Responsibilities

The members of the NSTU-RTO Cumberland Branch shall have the same rights, privileges and responsibilities as those extended by the Constitution of the Retired Teachers Organization of the Nova Scotia Teachers Union.


The NSTU-RTO Cumberland Branch membership fees may be established by resolution at the Annual General Meeting and may be changed by serving a minimum 30 day notice of motion before a vote is held at the next regular meeting.

 

 

6.     Membership Year

The membership year shall be from July 1st from one year to June 30 of the following year with both dates inclusive.


7.     Meetings

 A.      General Meetings shall be held four times annually as follows:

September, November, March and May.  The dates for each meeting except May shall, as it is reasonably possible to do, be the last Tuesday of the month.  The May meeting shall be the Annual General Meeting and shall, as it is reasonably possible to do, be held on the first Tuesday after Victoria Day.

 B.    The time and place of  the meetings shall be determined by the Executive.

 C.          The Executive shall, as it is reasonably possible to do, meet on the  Tuesday prior to the date of each General Meeting at a time and location as determined by the Executive.

 D.         Monetary motions may be recommended by the Executive but in all cases such motions shall be approved by a general meeting.

 E.          The Executive shall be responsible for matters arising  between general meetings except as provided in clause 7 D.

 F.           The Annual General Meeting shall include the following items on its agenda: election of officers, financial report, appointment of auditor(s) and committee reports.

 G.         Meetings shall be conducted using Roberts Rules of Order.

 

8.      Organization

 A.         The officers of the NSTU-RTO Cumberland Branch shall be: President, Vice-President,  Secretary, Treasurer, Immediate Past-President and Member at Large.

 B.          The members of the Executive, with the exception of the Immediate Past-President shall be elected at the Annual General Meeting for a one year term which shall extend from the adjournment of the Annual General Meeting to a similar adjournment at the following Annual General Meeting.

 C.          Executive members may serve more than one term.

 D.         Notwithstanding 8C, a president or a vice-president can offer for a third, or greater, consecutive term if no other name(s) come forward.

 E.          Any vacant position on the Executive shall be filled by appointment by the Executive.  Any such position shall be subject to approval by the membership at the next General Meeting.

 

 9 .     Committees and Duties

 

Membership Committee:

-          shall keep up an updated list of the members of the NSTU-RTO Cumberland Branch

-          seek ways to increase membership

-          shall be appointed by the Executive

Calling Committee

-          shall be appointed by the Executive from among the general membership

-          each member of the calling committee shall have a list of general members appointed by the Executive

-          each member of the calling committee shall inform the general members on his/her list of the date, location, food menu with price, guest speaker, if any, in regards to each General Meeting

-          each member of the calling committee shall perform other duties as assigned by the Executive  

 

 10.      Nominating Committee

 A.       The nominating committee shall be chaired by the Immediate Past President with members added, if desired, by the Executive.

 B.       The nominating committee shall bring in a proposed slate of officers to the Annual General Meeting.

 

11.       Representation at Provincial RTO Meetings

 A.       The President, or an Executive member delegated by the President, shall represent the NSTU-RTO Cumberland Branch at the RTO Annual General Meeting and provincial meetings of Branch Presidents.

 B.       The President, or delegated person, shall report on such meetings to the Executive and to the general membership.

 

12.       Finances

 A.       The NSTU-RTO Cumberland Branch shall have a general operating fund,  a special/bursary fund and a savings account.

 B.       The general operating fund shall be used to cover costs incurred in completing the business of the NSTU-RTO Cumberland Branch. 

 C.       The special/bursary fund shall be financed by raffles conducted at each general meeting.  The monies so earned shall be used to finance at least one bursary  to a grade 12 student each year. The operating policy for this fund shall be determined by the Executive.  Approval for spending funds for the purpose of all bursaries shall be approved at a General Meeting.

 D.       The savings account shall be used for an emergency purpose(s) with each such purpose being approved by the membership at a General Meeting.

 E.        Notwithstanding 7D, meeting expenses shall be paid.

 

13.      Duties of the Members of the Executive

 President:

-          shall chair all meetings of the NSTU-RTO Cumberland Branch

-          shall prepare an agenda for each meeting

-          shall act as the spokesperson for the NSTU-RTO Cumberland Branch

-          shall perform duties as assigned by the Executive and/or general membership as assigned at a General Meeting

-          shall have general responsibility for the affairs of the NSTU-RTO Cumberland Branch

 Vice-President

-          shall provide members of the calling committee with appropriate information in advance of each General Meeting as noted in article 9

-          shall chair meetings in the absence of the President

-          shall conduct the duties of the President in the absence of the President

-          shall chair the membership committee

-          shall perform other duties as assigned by the Executive

 Secretary

-          shall record minutes of General and Executive Meetings

-          shall read minutes if required

-          shall maintain a record of the minutes

-          shall perform other duties as assigned by the Executive

 Treasurer

-          shall write cheques, make deposits and maintain financial records

-          shall provide a report at each General and Executive Meeting

-          shall prepare an annual report as required by the provincial RTO

-          shall prepare an annual financial report for presentation at each Annual General Meeting

-          shall ensure an annual independent audit of the financial records of the Cumberland  Branch RTO

-          shall perform other duties as assigned by the Executive

 Immediate Past-President

-          shall serve as an advisor to the President and the Executive

-          shall assume the chair of the Nominating Committee

-          shall perform such other duties as assigned by the Executive

 Member at Large

-          shall perform duties in relation to the raffles held at each General Meeting for the special fund

-          shall determine the revenue earned by each raffle and report the same to the Treasurer

-          shall perform other such duties as assigned by the Executive

 

 14.      Quorum

 A quorum of fifty percent plus one of the members of the Executive is required to conduct business at any Executive meeting. 

 B.       The quorum to conduct business at a General meeting shall be fifty members. 

 

15.      Amendments

 A.       The by-laws of the NSTU-RTO Cumberland Branch may be amended by a two-thirds vote of those present at the next General Meeting provided a thirty day Notice of Motion has been given.
